Member States must allow a financial holding undertaking whose subsidiaries run independent business models and operations to choose not to include consolidated sustainability information in its consolidated management report.
The requirement, in our words
Member States must allow a parent that is a financial holding undertaking, with subsidiaries that run unconnected businesses and operations, to choose not to include consolidated sustainability information in its consolidated management report. The parent should be able to demonstrate both the holding character and the independence of its subsidiaries' businesses.
Why it matters
The option recognises that a financial holding with unrelated businesses does not have a meaningful group-level sustainability story. The test is operational independence, not legal structure alone. A holding that sets group strategy, shared services or group risk appetite across its subsidiaries will struggle to show that the business models and operations are independent.
What changed
Article 29a gains paragraph 7a. It is an option for Member States, so the answer depends on the national measure as well as the group's facts.
What to do
- Document the legal and operating structure and why the parent is a financial holding undertaking.
- Assess each subsidiary's business model and operations against the independence test.
- Check whether the Member State has implemented the option before relying on it.
Evidence to have ready
| Category | Artefact |
|---|---|
| Group reporting | Legal and operating structure analysis showing the parent is a financial holding undertaking |
| Group reporting | Assessment demonstrating that subsidiaries' run separate businesses and operations |
| Group reporting | Board decision recording the choice not to report at consolidated level |
Common failures
- Opt-out used while the subsidiaries share operations, platforms or management
- No record of the decision or its basis
Dates
Applies to consolidated financial years starting on or after 1 January 2027, if the Member State has implemented the option by 19 March 2027.
The question to test
Can you show operational independence, or only separate legal entities under one holding?
